Corporate Leagal Counsel
Job Description: The Corporate Counsel for Hexagon's Infrastructure & Geospatial (I&G) Business Area will be responsible for a wide range of legal matters, reducing legal risk and providing advice to improve Hexagon’s legal rights and remedies consistent with the values of Hexagon. Working under the direct supervision of the Division General Counsel, the Corporate Counsel will work in a collegial, fast-paced environment solving complex problems alongside personnel from sales managers to C-suite executives. The successful candidate will have an interest in technology relating to positioning, autonomy, measurement, reality capture, and artificial intelligence and possess a desire to help change the world’s producers and builders into more sustainable and efficient businesses. They will also have international franchise experience.
This position can be remote in the US or located on-site in Alpharetta, GA.
Responsibilities may include: • Overseeing and assessing diligence on M&A deals, preparing due diligence memos, and drafting and negotiating purchase agreements with the guidance and support of other Hexagon lawyers. • Drafting and negotiating contracts for technology, services, marketing and advertising, purchasing, and supply, in such a way that business colleagues with a range of sophistication and experience can comply with and use the contracts in a self-serve manner, as appropriate. • Franchising (Domestic and International): assist in drafting and updating Franchise Disclosure Documents, assist in obtaining or renewing franchise registrations, assist in drafting Franchise Agreements and related agreements, and assist in drafting franchise compliance and transactional documentation. • Training sales teams to enhance their working knowledge of contract risk management issues and mitigation paths over time. • Drafting sweepstakes, promotions, marketing programs, and rules and terms as needed for the business. • Assessing risks and remedies in disputes ranging from contract, product liability, dealer/franchise protection and dealer/franchise network disputes. • Working with outside counsel as needed. • Maintaining excellent relationships with internal clients and colleagues to be a valued member of the Hexagon Deal Team.
Desired Skills: We are seeking candidates with 2-4 years of work experience as an associate in a well-regarded national or regional firm, with corporate, M&A, and international franchise and distribution experience preferred. The successful candidate will be a quick learner, able to manage multiple priorities, and also be a clear communicator.
The candidate should have: • A J.D. from an accredited United States law school and membership of the State Bar of any U.S. state; • Solid work experience of representing mid to large clients; • An ability to balance numerous short-term and long-term responsibilities, balancing them on a day-to-day basis as events require, but also achieving traction on long-term initiatives; • The ability to command the respect of business leaders and outside counsel across a wide spectrum of experience and sophistication; • Excellent interpersonal skills, with the ability to lead and influence; • A self-starter attitude, comfortable working under pressure; • An ability to engage in searching, critical discussion without personalizing outcomes; • Unquestioned integrity and ethics in all dealings; • The ability to work collaboratively and efficiently with business clients and legal colleagues. Limited travel is required to see internal clients and lawyers, with an expectation of approximately 10%, when normal levels of travel return.
