Your tasks The position combines senior transaction leadership with substantial hands-on analytical work. It requires the ability and willingness to independently lead transactions, build, review and challenge financial models, valuations, transaction structures and transaction documentation, with personal ownership of the underlying analyses, conclusions and figures. Take end-to-end ownership of M&A projects across OMV’s value chain (Energy/E&P, Fuels & Chemicals) and independently drive transactions from preparation through signing and closing to post-closing activities, with a high degree of personal responsibility and accountability. Independently perform, review and challenge valuations, purchase price allocations, financial analyses, accounting and consolidation assessments, ensuring accurate reflection of financial, tax, accounting and commercial information in transaction structures and documentation, including SPAs and other contractual arrangements. Independently develop, review and challenge integrated financial models covering P&L, balance sheet and cash flow statements. Assess and calculate the financial impact of different accounting and consolidation methods in connection with acquisitions, disposals, joint ventures and other transaction structures. Independently perform, review and challenge advanced financial analyses, including complex business valuations, business plan reviews, asset economics, value bridges, trading multiples, precedent transaction multiples, earn-out calculations, completion accounts and other transaction-specific or ad-hoc analyses. Design, analyse and execute transaction structures, including tax structuring such as asset versus share deals, financing structures, deconsolidation implications, dividend capacity and potential, purchase price mechanisms and other value-relevant structural considerations. Lead the M&A workstream in financial due diligence for acquisition opportunities and disposal candidates. Independently analyse key findings and challenge business plans, management assumptions, external advisors and underlying financial information. Identify inconsistencies, weaknesses and value drivers in financial models, business plans and transaction analyses and independently derive decision-relevant conclusions and recommendations. Identify and develop solution approaches for complex accounting, financial, tax and transaction-related issues in close alignment with relevant Group functions, including Finance & Controlling, Accounting, Tax and Treasury. Manage external advisors and investment banks, including advisor selection, steering of advisory workstreams and negotiation of advisory and consultancy fees, while retaining internal ownership of key analyses and conclusions. Prepare, review and deliver transaction-related documentation and presentations, including teasers, information memoranda, management presentations, transaction analyses and decision materials and translate complex financial, valuation, accounting and transaction matters into clear, concise and decision-relevant insights for senior management, the Executive Board and the Supervisory Board. Ensure effective cross-functional alignment throughout M&A processes, including coordination with Finance, Tax, Treasury, Controlling, Accounting, Legal and relevant business functions. Support portfolio strategy through assessment of growth opportunities, acquisitions, partnerships and disposals, maintain market intelligence, monitor industry trends, ensure M&A reporting and proactively support transaction, valuation, finance and portfolio projects. Your profile Master’s degree / Diplom in Economics, Business Administration, Finance or a comparable discipline and minimum 12 years of relevant professional experience, including M&A and transaction execution, with substantial hands-on experience in corporate finance, valuation, accounting and IFRS, preferably within the energy industry. Strong hands-on expertise in M&A execution, corporate finance, valuation, IFRS, accounting, transaction tax and financing, including the ability to independently build, review and challenge complex financial models, valuations, business plans, financial statements and transaction structures. Ability to identify inconsistencies, challenge assumptions, understand value drivers and derive robust, decision-relevant conclusions while leading large, complex and multi-stakeholder transactions with full ownership of multiple parallel workstreams. Strong understanding of transaction processes and documentation, including due diligence, valuation, structuring, purchase price mechanisms, SPAs, completion accounts, earn-outs, closing processes and post-closing implications, combined with strong commercial judgment and analytical skills. Strong strategic awareness and commercial judgment, combined with excellent analytical and problem-solving capabilities and the ability to distinguish material transaction issues from less relevant detail. Excellent communication skills and the ability to translate highly complex financial, accounting and transaction matters into clear, concise and decision-relevant recommendations for senior management, the Executive Board and the Supervisory Board, combined with a high level of independence, ownership and responsibility for sensitive financial information. Excellent command of English, both written and spoken. High degree of independence, personal responsibility and ownership, including responsibility for the generation, review and validation of sensitive corporate figures and transaction-related financial information. The minimum gross annual salary according to the collective agreement amounts to EUR 114.828,-- all-in . Depending on skills and specific experience, over-payment is possible.
