Job description summary Responsible for Company Secretary function, including corporate governance, regulatory compliance, Board and shareholder matters of a listed company. The role works closely with senior management, investors, shareholders, regulators, and internal functions to ensure effective communication, accurate disclosures, and compliance with applicable requirements. Company Secretary & Corporate Governance
• Manage corporate secretarial activities and provide support to the Board of Directors, Board Committees, AGM, and EGM across group companies.
• Coordinate Board and shareholder meetings, including agendas, meeting materials, minutes, resolutions, and follow-up actions.
• Ensure compliance with SET, SEC, Public Limited Companies Act, Securities and Exchange Act, Articles of Association, and other applicable requirements.
• Coordinate regulatory filings and disclosures through SET Link and liaise with SET,SEC, TSD, Ministry of Commerce, legal advisors, auditors, and other relevant parties.
• Lead the coordination of the 56-1 One Report / Annual Report, ensuring completeness, consistency, and timely completion.
• Maintain statutory records, corporate documents, Board records, and other governance-related documentation, including records relating to directors, executives and shareholders.
• Support and monitor corporate governance practices across the Group and subsidiary companies, including corporate structures, director appointments, statutory requirements, and governance standards.
Qualifications
• Bachelor’s or master’s degree in Law, Finance, Accounting, Economics, Business Administration, or a related field. A degree in Law is highly preferred.
• Minimum 5 years of relevant experience in Company Secretary, Corporate Governance, Legal, or a related role, with experience in a SET-listed company or a company preparing for IPO highly preferred.
• Strong knowledge and understanding of SET and SEC regulations, corporate governance requirements, disclosure obligations, and relevant laws and regulations applicable to listed companies.
• Strong analytical and problem-solving skills, with excellent attention to detail and the ability to manage multiple priorities effectively.
• Excellent communication, interpersonal, and presentation skills, with the ability to communicate professionally with senior management, investors, regulators, and other stakeholders.
• Good command of written and spoken in both Thai and English.
