• Advise on all aspects of corporate trust, commercial lending and global payments and trade transactions, products, programs, platforms, processes and related matters • Negotiate and draft transactional agreements for the corporate trust business– including a broad range of structured finance, corporate debt, government, custody, escrow, insurance trust and public not-for-profit related agreements • Structure, document, negotiate and close commercial lending transactions • Negotiate and draft transactional agreements for BNY Mellon’s Global Payments and Trade business – including those related to supply chain finance, receivables finance, risk distribution, white label outsourcing, global banking terms for payments and liquidity services, and a broad range of traditional trade-finance products such as letters of credit, trade loans and the discounting of instruments and documents • Manage escalations from various business stakeholders internally and outside counsel on transactional and documentation issues • Assist on special, regional and global projects as required for the Corporate Trust, Credit Services, and Global Payments and Trade businesses • At times interact with senior management and relevant business stakeholders • Partner with control functions serving in an advisory or oversight capacity, such as Risk, Audit and Compliance • Manage outside counsel and advise on business, regulatory and legal developments • Collaborate with other Issuer Services Legal Team members, as needed • Negotiate servicing outsourcing contracts
To be successful in this role, we’re seeking the following:
• Juris Doctor from an accredited law school and a member of the Pennsylvania or New York Bar. • 3-7 years’ minimum of total work experience as a qualified attorney, including representing major financial institutions in corporate trust transactions. • Commercial lending, fund finance or supply chain finance a plus • Cross-border transactional experience a plus • Ability to handle a diverse and demanding workload • Excellent negotiation, analytical, problem-solving, drafting and communications skills • Ability to function independently, but also as part of effective teams
