About this role
About Prana Ventures
Prana Ventures is an early-stage venture capital firm investing through SEBI-registered Alternative Investment Funds. We back founders at the earliest stages and work closely with them through the life of the company. Behind every investment is a finance function that has to be accurate, on time and fully compliant, and that is the team you would be joining.
The Role
We are hiring a Finance Manager to manage investor relations and run the fund accounting & operations engine across our funds and the management company. Reporting to the Head of Finance, you will own investor reporting, day-to-day delivery of fund accounting, capital calls and distributions, investment fund flows, regulatory and tax compliance, management company finance, working with our fund administrator, auditors, tax advisors and legal counsel.
This is a hands-on ownership role, not a review-only one. You will prepare, reconcile and run the processes yourself, bring them to the Head of Finance for sign-off, and be the person the partners, LPs, administrator and auditors rely on for the numbers. It suits a Chartered Accountant/ Commerce graduate who already understands how a fund works end to end and wants to build depth in venture capital.
Key responsibilities
Investor reporting and relations
- Own the end-to-end quarterly and annual investor reporting cycle, including LP reports, capital account statements, portfolio updates and fund performance metrics (IRR, TVPI, DPI and MOIC), bringing together inputs from the investment team and the fund administrator.
- Act as the day-to-day point of contact for LPs on queries relating to capital accounts, drawdowns, distributions, tax statements and fund performance, and ensure every response is accurate, consistent and timely.
- Manage LP onboarding and investor records, including subscription and contribution documents, KYC/AML and FATCA/CRS documentation, the investor register and the LP portal or data room.
- Prepare financial packs and materials for LP meetings, annual investor meetings and Investment/Advisory Committee meetings, and track follow-up actions to closure.
- Respond to LP due diligence questionnaires (DDQs) and other ad-hoc reporting requests, and maintain a tracker of side-letter obligations to ensure they are consistently honoured.
- Support the partners in fundraising for new funds by preparing track-record data, financial information and data room materials, and by responding to prospective investors’ queries.
Fund accounting and reporting
- Run fund accounting and NAV computation for each fund in coordination with the fund administrator, and review the administrator’s output for accuracy before it goes to the Head of Finance.
- Prepare quarterly and annual financial statements, LP reports, capital account statements and portfolio valuation summaries within agreed timelines.
- Maintain the master record of investments, follow-on rounds, exits and write-offs, and reconcile it to the administrator’s books every quarter.
- Support portfolio valuation exercises in line with the applicable valuation guidelines (including IPEV) and the fund’s valuation policy, and prepare materials for valuation review.
Capital calls and distributions
- Prepare and issue capital call and distribution notices; track LP commitments, contributions, unfunded amounts and recallable capital.
- Reconcile LP receipts, follow up on delayed contributions and escalate any potential default to the Head of Finance and partners in line with the fund documents.
- Compute management fees, fund expenses, carried interest and waterfall distributions in accordance with the fund documents, and maintain the supporting workings for audit.
Investment operations
- Coordinate fund flows for new investments, follow-ons and exits, including wire instructions, KYC, FEMA compliance and closing documentation, working with the investment team and legal counsel.
- Maintain the fund’s shareholding and investment tracker for each portfolio company, including instrument terms, conversion events and liquidation preferences.
- Support the investment team with financial diligence inputs and post-investment monitoring data where required.
Compliance and regulatory
- Ensure timely and accurate regulatory filings and reporting, including SEBI AIF filings, FEMA/RBI reporting for foreign LPs and investments, and any other statutory returns applicable to the funds and management company.
- Manage tax compliance for the funds and management company, including withholding tax, advance tax, tax returns and LP tax documentation, in coordination with tax advisors.
- Lead the annual statutory and tax audits for the funds and management company: plan the timeline, prepare schedules, respond to auditor queries and close out findings.
- Maintain the compliance calendar and ensure no filing or payment deadline is missed.
Management company finance
- Manage bookkeeping, accounts payable, expense management, payroll coordination and budgeting for the management company.
- Track fund expenses against management company expenses and ensure allocation is correct and consistent with the fund documents and LP expectations.
- Prepare monthly management accounts and cash-flow forecasts for the management company.
Process, systems and controls
- Document and continuously improve finance processes, controls and checklists so that every recurring deliverable is repeatable and audit-ready.
- Own the finance systems and data, including the accounting system, LP records and investment trackers, and drive improvements in reporting and automation.
What success looks like in the first 12 months
- Quarterly LP reports and capital account statements go out accurately and within the agreed timeline every quarter.
- LPs receive prompt, accurate responses to their queries, and investor onboarding, DDQs and side-letter reporting are handled smoothly without escalation.
- All SEBI, RBI/FEMA and tax filings are made on time with no penalties or notices.
- Statutory and tax audits close on schedule with no material findings.
- Capital calls, distributions and fee computations are issued without errors or restatements.
- Finance processes are documented, controls are in place, and the Head of Finance can rely on your work with light-touch review.
