Overview MTS US is led by a high-caliber Board of Directors (the “Board”) and includes representation across job functions and skill sets, including Law, Finance, and Technology. The Board is seeking to appoint an Independent Non-Executive Director (“INED”). The role of the Board is to promote the long-term, sustainable success of the MTS US by setting a clear purpose and strategy and ensuring that the business operates safely, soundly, and in compliance with its license conditions, regulatory obligations, and Mastercard policies. The Board delegates day-to-day operational matters to management, except for matters specifically reserved to the Board, including strategy, risk, financial crime, compliance, governance, and capital oversight. The Board discharges its responsibilities through four formal Board meetings per year. These are scheduled throughout the year to consider an annual cycle of items, including strategic updates, key management information, and regulatory and compliance requirements.

Role The INED will be joining the Board at a critical time for MTS US. In addition to its current enablement of money transmission, MTS US intends to support virtual currency flows. The INED must challenge and support Management and Board decision-making from a neutral and independent perspective to ensure that: • The organization has the capabilities and resources needed to meet its objectives and enable success. • An effective control framework is in place to assess and manage risk. • MTS US’s strategy is consistent with its role in money transmission and planned virtual-currency-related activity, as well as its contractual and regulatory obligations. More generally, the INED will: • Scrutinize the performance of executive management in meeting agreed objectives and in maintaining effective compliance and risk management systems. • Satisfy themselves as to the integrity of financial, regulatory, and risk reporting, including the defensibility of key judgments and controls. • Contribute to Board decisions relating to appointments, succession planning and overall Board effectiveness. • Remain well informed about MTS US, the external regulatory environment, and broader developments affecting payments, financial crime, and regulatory expectations. Time Commitment • Participation in four quarterly virtual Board meetings per year. • Review of compliance, regulatory, risk management, finance, technology and information security, and product reporting in advance of Board meetings. • Review and approval of previous quarter’s Board meeting minutes. • Involvement in off-cycle Board approvals and written resolutions, as required from time to time.

All About You The Board seeks an individual with the following skills and experience: • A proven business leader with significant exposure to boardroom governance and debate. In the recent past, the candidate will have led commercial teams in technology-enabled business environments. • Significant senior-level experience within regulated financial services, payments, transaction services, money services businesses or comparable financial market infrastructure environments. • Experience which can fill any gaps in Board expertise insuch areas as information security, anti-money laundering and/or regulatory compliance, and especially digital assets and cryptography. • It is vital that candidates are forward thinking, able to operate at a strategic level, and able to support MTS US in the execution of its growth plan. They will bring a strong commercial acumen. They will have a proven track record of strategic delivery gained during a successful executive career in go to market and/or general management roles, ideally with a spike in business growth and transformation. • A strong understanding of AML and sanctions screening systems and controls; transaction monitoring and customer due diligence frameworks; and the governance, resourcing, and assurance models required to support effective compliance. • Experience operating within regulated environments, with a clear appreciation of regulatory expectations and supervisory engagement. • The ability to assess whether compliance and AML frameworks are not only well designed but also operating effectively, and to challenge management constructively where weaknesses are identified. • Prior Board or committee-level oversight of AML, compliance and financial crime frameworks, ideally within a regulated payments or money transmission context. • Experience working within a multinational structure, particularly with US companies. • Prior non-executive director experience is welcome but not essential. • Be willing and able to complete regulatory vetting, background checks, disclosures and ongoing conflicts reporting. • They will be: • Intellectually confident, analytical, and evidence-led in their thinking and reasoning. • Able to make good commercial decisions rigorously and at pace, which balance the long-term interests of the company and its stakeholders. • A good and measured listener, with a naturally curious disposition. Able to provide constructive challenge in an appropriate manner. • Responsive, not afraid to contribute ideas and challenge existing thinking, able to buy-in and commit to an agreed way forward. • Ambitious on behalf of MTS US. Eager to support and contribute their skills, insights and network to help the company succeed. • Collaborative in style and able to build strong relationships, communicate effectively, and provide challenge in a constructive manner. • Committed to high standards of governance, ethics and personal conduct. • Willing to dedicate sufficient time to the role, including preparation, meeting attendance, and ongoing engagement.
