This role is based in Malta.

Company Overview

ONE.io was founded in 2017 as an OTC digital asset trading desk, serving high-net-worth individuals, corporates, and institutional clients globally. Recognising that our clients – generally in sectors underserved by the traditional banking system – were facing tremendous difficulty in the movement of fiat funds, we undertook to resolve this industry pain point by shifting our focus toward the provision of payment services. We subsequently acquired our PI licence from the FCA in 2020, and launched our proprietary payments platform in 2021.

Today we provide a unified end-to-end financial services solution for corporate clients through our core propositions - ONE.io Connect (Payments Platform), ONE.io Fusion (OTC Crypto Trading and Crypto Gateway). Role Overview

The Non-Executive Director (NED) provides independent oversight, constructive challenge, and strategic guidance to the Board of Directors of a Payment Institution (PI) and CASP (licenses pending). The role ensures the company operates in compliance with applicable regulatory frameworks, including the Payment Services Directive 2 (PSD2), Maltese financial services laws, and anti-money laundering obligations.

Key Responsibilities

Governance & Oversight

• Contribute to the effective leadership of the Board, ensuring high standards of corporate governance.

• Provide independent judgment on issues of strategy, performance, risk, and resources.

• Monitor the integrity of financial information and internal controls.

Regulatory Compliance

• Ensure the PI and CASP operates in compliance with all applicable regulations and guidelines issued by the local Financial Services Authority.

• Oversee adherence to AML/CFT requirements in line with EU directives and local legislation.

• Support regulatory engagement and ensure timely reporting obligations are met.

Risk Management

• Assess the effectiveness of risk management frameworks, including operational, financial, cyber, and compliance risks.

• Participate in Board committees (e.g. Risk, Audit, Compliance) where required.

Strategic Input

• Provide independent input into the development and review of the company’s strategy.

• Challenge executive management constructively to ensure robust decision-making.

Financial Oversight

• Review financial performance, budgets, and forecasts.

• Ensure appropriate safeguards are in place for safeguarding customer funds as required for PIs.

• Ensure the correct custody arrangements are in place to safekeep customers crypto assets

Stakeholder Engagement

• Promote the long-term success of the company while considering stakeholders including customers, regulators, and shareholders.

Skills and Experience

Experience & Expertise

• Proven experience as a Non-Executive Director, Board member, or senior executive within financial services, fintech, or payments.

• Strong understanding of PI and CASP business models and regulatory frameworks, including Payment Services Directive 2.

• Familiarity with Maltese regulatory expectations and interaction with the Malta Financial Services Authority is highly desirable.

Time Commitment

Attendance at scheduled Board meetings (typically quarterly, with additional ad hoc meetings as required).

Participation in Board committees.

Must disclose any actual or potential conflicts of interest and comply with Board policies regarding independence.
