Job Title: Corporate ParalegalJob DescriptionThe Corporate Paralegal provides primary legal support to the Legal and Compliance Departments and plays a central role in general corporate work, corporate governance, compliance, intellectual property, and litigation matters. This position conducts research and legal writing across a wide range of topics, manages domestic and international legal entities and governance processes, and supports board and committee activities. You will collaborate with internal and external lawyers and business partners, help define and improve legal systems and processes, and contribute to the efficient operation of the legal function in a fast-paced, global environment.Responsibilities
• Perform legal research and writing on a broad range of issues, including health and safety, environmental, corporate, employment, international trade, securities and finance, and compliance and ethics. • Manage corporate governance matters for domestic and international subsidiaries, including drafting minutes and actions of managers and governing bodies, creating and maintaining corporate records, preparing, processing, and maintaining legal entity filings, and preparing data sheets for entities. • Hold primary responsibility for governance and legal entity matters for domestic entities. • Act as liaison with international resources to support governance and corporate matters for international entities. • Maintain, qualify, and register legal entities in accordance with applicable state and foreign laws and corporate record-keeping requirements. • Manage the company’s entity management portal (CT Corporation/hCue), ensuring data accuracy and timely updates. • Assist with the preparation of board and committee meetings, including compliance and reporting activities. • Maintain and file corporate records, including resolutions, Board of Director and committee meeting minutes, reports, and other governance documentation. • Coordinate and obtain Board and Committee member signatures for documents and meeting materials. • Manage the company’s electronic board portal for meetings and governance resources, ensuring materials are organized and accessible. • Assist with the development, maintenance, and implementation of the global Code of Conduct and legal compliance training programs. • Support execution of initiatives and policies related to the Code of Conduct and underlying compliance policies. • Support compliance activities, including compliance with state and local incentive programs related to U.S. facilities. • Assist with maintaining the company’s intellectual property database and ensure accurate tracking of IP assets. • Liaise with technology teams to coordinate recurring intellectual property review meetings and related activities. • Professionally handle legal and other matters involving confidential, proprietary, and legally privileged documents and information through the Legal Department’s contract management system (Xakia). • Assist with negotiating, drafting, revising, and implementing commercial contracts, including non-disclosure agreements (NDAs). • Support the administration of outside counsel relationships, including reviewing billings and fees against project budgets and annual outside spend, and assisting with periodic accruals of legal expenses. • Manage the Legal Department’s eBilling system (Brightflag), including processing legal partner invoices to finance for payment and setting up new vendors. • Maintain the Legal Department’s internal intranet site as a resource for global team members, including developing forms and tools to automate legal processes. • Provide legal support to the Legal Department and various business functions on complex, sensitive matters and special projects as needed. • Perform other related duties as assigned to support the overall effectiveness of the Legal and Compliance Departments. Essential Skills
• Bachelor’s degree in Paralegal Studies or a related field. • Minimum of 10+ years of experience as a paralegal, with a mix of large law firm and in-house corporate practice. • Excellent analytical and organizational skills, including the ability to collect, structure, analyze, and clearly communicate data. • Strong project management skills with the ability to manage multiple initiatives simultaneously. • Extreme attention to detail, high level of organization, dedication, and the ability to work both independently and collaboratively within a team. • Exceptional attendance and punctuality. • Solid understanding of legal language and principles, legal research methods, and related legal concepts. • Excellent interpersonal skills and the ability to build effective working relationships. • Strong time management skills with a proven ability to meet strict deadlines and handle pressure. • Ability to interact effectively with individuals at all levels of the corporate structure, prioritize tasks, and handle numerous competing demands in a high-volume, fast-paced environment. • Ability to maintain confidentiality and to exercise discretion and sound judgment in handling sensitive and privileged information. • Proficiency with Microsoft Office Suite, including Excel, Word, SharePoint, and OneDrive, or related software. • Strong computer skills related to database management and electronic systems. • Broad knowledge of basic principles of state and foreign laws regarding legal entities and corporate record keeping. • Experience reviewing, approving, processing, and accruing vendor and outside counsel invoices and other legal expenses. • Good business judgment and strict adherence to legal privilege and confidentiality requirements. • Proactive, self-starter mindset with the ability to complete tasks under pressure and within tight timelines. • Experience managing entity management portals such as CT Corporation or hCue. • Experience using contract management systems, including tools such as Xakia. • Experience managing eBilling systems for legal departments, including platforms such as Brightflag. • Experience supporting board and committee governance processes, including preparation of agendas, minutes, and resolutions. • Experience developing or maintaining legal department intranet sites and creating automated forms to streamline legal processes. • Ability to collaborate effectively with senior leadership, board members, internal business partners, and external counsel. • Comfort working with global teams and supporting domestic and international legal entities. • Interest in contributing to continuous improvement of legal systems, processes, and tools. You will operate in a fast-paced, high-volume setting that requires professionalism, attention to detail, and consistent collaboration across departments and regions. Job Type & LocationThis is a Contract to Hire position based out of Strongsville, OH. Pay and BenefitsThe pay range for this position is $45.00 - $65.00/hr. Individual compensation offered for this position within this range will depend on many factors, including qualifications, skills, relevant experience, job knowledge, geographic location, internal equity, and other pertinent job-related factors.Eligibility requirements apply to some benefits and may depend on your job classification and length of employment.
