Legal Counsel Mergers & Acquisitions d/f/m Location(s): Essen, NW, DE, 45141 RWE AG To start as soon as possible, full time / part time, permanent About the role - Contribute to strategic M&A transactions across the RWE Group. - Participate in and lead contract negotiations for international transactions and projects. - Prepare and present decision papers for the executive management. - Draft and review key transaction documents in the M&A environment (e. g. Share Purchase Agreements (SPAs), Shareholders' Agreements, Term Sheets, LoI, and Due Diligence Reports). - Coordinate and manage all involved business functions as well as external advisors. - Support project management activities and post-merger integration efforts in close collaboration with Controlling, Finance, M&A, and Legal teams. - Contribute to cross-functional projects. Job requirements and experience - Qualified lawyer, ideally with two German law degrees with honours or equivalent international qualifications. - At least three years of professional experience in M&A/ corporate law, ideally in an international company or with a comparable law firm. - Strong commercial awareness and a genuine interest in the energy industry. - A high level of commitment and dedication as well as decisiveness and outstanding analytical skills are essential. - Structured and efficient working style, with the ability to perform well under tight deadlines. - Strong cross-functional mindset, excellent communication and interpersonal skills and diplomatic approach, in addition to displaying finely honed negotiating skills. - Proactive in driving and supporting change initiatives. - Experience in the digitalization of legal and business processes, particularly in the use of AI-powered tools and legal technology solutions. - Fluent German and English language skills, both written and spoken.
