Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Private Investment & Securities Counsel.

Overview: Major, Lindsey & Africa is seeking an experienced Interim Securities Attorney to support our law firm client. The successful candidate will have significant experience advising private companies, family offices, and investors on private placements, securities compliance, capital raising transactions, and related regulatory matters. They should have experience counseling emerging growth companies, closely held businesses, and ultra-high-net-worth investors. This role requires strong drafting skills, sound legal judgment, and the ability to manage sophisticated transactional and regulatory workstreams in a fast‑paced environment.

Experience: 10+ years of securities law experience in a law firm

Location: 100% Remote, Part-time

Responsibilities Include:

• Support capital markets activities, including equity and debt offerings, and private placements memoranda (PPMs), subscription agreements, operating agreements, investor questionnaires, side letters; advise team on Rule 144A, Regulation D, and applicable private offering exemptions • Provide securities and regulatory guidance for family office investment vehicles, including SPVs, holding companies, pooled investment structures, and direct investment platforms. Provide advice on family office exemptions, co-investment structures, and private investment activities across multiple asset classes • Support structuring and documentation of private investments across asset classes, including private equity, venture capital, real estate, credit, and alternative investments • Draft and negotiate offering memoranda, subscription agreements, and investor communications • Provide guidance on structuring, disclosure requirements, and regulatory considerations for private securities offerings • Advise broker‑dealers on compliance under the Securities Exchange Act of 1934, FINRA rules, and relevant state securities laws • Advise clients on investment‑related compliance with the Investment Company Act of 1940 and the Investment Advisers Act of 1940 • Draft and review fund documents, advisory agreements, compliance policies, advertising materials, and disclosure documentation • Advise clients on governance, fiduciary obligations, and ongoing reporting or regulatory filings • Collaborate with interdisciplinary teams and provide securities‑related input on M&A transactions, joint ventures, restructurings, financing, and tax matters

Qualifications Include:

• J.D. from an accredited law school; active membership in good standing with at least one • U.S. state bar • 10+ years of securities law experience in a law firm • Demonstrated expertise in: • Private placement offerings and securities regulations • Broker–dealer regulatory matters (FINRA + SEC) • Federal and state securities laws applicable to privately held companies, family offices, and alternative investment vehicles • Advising investment companies or investment advisers • Prior experience advising family offices, private wealth platforms, or ultra-high-net-worth investors on securities and investment matters • Familiarity with regulatory exemptions and compliance frameworks applicable to family offices and affiliated investment entities • Strong drafting, negotiation, and communication skills • Ability to manage multiple transactions and priorities with minimal supervision • Collaborative mindset with the ability to work effectively with sophisticated financial‑services clients • Familiarity with structured products, fund formation, or alternative investment vehicles

Pay Rate: $100-120

Individual compensation offered for this position within the pay range will depend on many factors, including qualifications, skills, relevant experience, job knowledge, geographic location, internal equity, and other pertinent job-related factors.
