Job Purpose
You will support the Governance function in delivering high-quality governance, company secretarial and entity management services across the InfraRed group, its regulated entities, investment structures and associated fund vehicles.
Responsibilities will include supporting key Boards, overseeing outsourced company secretarial providers, maintaining corporate records and governance systems, and ensuring compliance with statutory and regulatory obligations across the Group.
Key Job Responsibilities
Board support
• Provide board support to certain InfraRed group entities, providing ‘end to end' servicing, including agenda setting, meeting pack reviews, minuting, following up on action points, etc.
• Planning and scheduling of board meetings.
• Provide company secretarial advice and guidance to the business
• Managing filings of statutory forms and related corporate documentation.
• Support transactions, including acquisitions and disposals of assets, restructurings, refinancings, new fund launches
• Ensuring each Committee’s terms of reference are up to date
Statutory administration
• Use of electronic records via Diligent Boards and Entities, ensuring timely reports are generated from Diligent Entities.
• Preparing and filing documents with Companies House to comply with statutory requirements, including but not limited to the filing of confirmation statements, PSC registers, appointment and resignation of directors, updating share filings such as capital reductions, share transfers, dividends and understanding when to apply these within any given transaction.
• Ensuring that Diligent SFS (audit portal) is updated.
• Manage the internal accounts tracker for the Governance team, liaising with relevant finance teams as appropriate.
• Ensuring that all internal corporate reporting is completed in a timely manner, this may include pulling information from entity reports to assist with the quarterly reporting for both the IRCP Board and Sun Life Financial.
• Responding to ‘Know Your Customer’ (KYC) requests and related information regarding beneficial ownership and anti-money laundering information requests.
• Attending to ad hoc queries that arise with the group entities relating to company secretariat issues.
• Managing and updating the various corporate governance trackers.
• Producing structure charts from Diligent Entities
• Manage UK incorporations and strike offs
• Supporting and overseeing the outsourced company secretarial providers including oversees providers
• Ad hoc projects
Advisory support
• Supporting the business with the provision of practical guidance on the proper application and interpretation of corporate law in respect of its entities and statutory filings.
• Ensuring best practice corporate governance principles are implemented in day-to-day activities consistent with InfraRed’s governance framework.
• Embedding governance framework/policies; ad-hoc projects and general administration duties.
Skills and Qualifications
• Qualified or studying for the Chartered Governance Institute qualification exams
• Proven experience in a similar industry is beneficial
• Excellent knowledge of Diligent Entities
• Enthusiastic, bright individual who is a team player and good at multi-tasking
• Able to research issues and propose practical solutions.
• Experience in delivering quality written reports and minutes with excellent attention to detail
• Well organised and able to prioritise multiple tasks to tight deadlines
• Excellent administration skills
• Confident in engaging with people at all levels across the business
• Commercially aware professional, maintaining discretion and confidentiality
• Willingness to learn and develop new skills / flexible with a ‘can do’ approach
• Practical experience of company filings for example, dividends, capital reduction, allotments, share transfers, director appointments, etc
• Good working knowledge of the Companies Act 2006
