POSITION SUMMARY
Reporting to the Vice President, Communications, Community Relations and General Counsel, the Director, Legal Services provides a broad range of legal services to the organization. In this leadership role, the Director, Legal Services will be responsible for appropriate risk management regarding legal issues and for ensuring compliance with all laws and regulations that apply to the organization.
POSITION ACCOUNTABILITIES
• Provides expert legal support and guidance to corporate, planning, and operational departments, as well as to all levels within the organization, including executives, directors, and managers, on a wide variety of legal matters/issues with a goal of achieving effective decision-making and appropriate risk management while supporting strategic objectives.
• Works with internal stakeholders, external legal counsel, and third parties to review, negotiate and draft a wide variety of commercial agreements, including leases, licenses, feasibility agreements, project development agreements, procurement documents, and purchase and sale agreements. Provides guidance on implications and courses of action.
• Oversees Indigenous files, including providing advice on Indigenous consultation, and negotiating and implementing benefit and protocol agreements in collaboration with the Indigenous Affairs department.
• Prepares various standard-form legal documents, including commercial agreements, leases, land tenure documents, and contracts. They are also responsible for regularly developing, reviewing, and maintaining PRPA's precedent agreements
• Tracks and reviews case law and new or changed legislation and determines their impact on the business.
• Anticipates and identifies legal issues and advises the organization on legal strategies and solutions to mitigate legal risk.
• Develops and implements appropriate training for staff regarding legal issues impacting the organization.
• Reviews, research, and interprets applicable legislation, case law, and legal writings. Prepares legal opinions as required, that may have a significant impact on PRPA and its activities.
• Advises and drafts documents in respect of corporate governance matters, including by-laws and corporate policies.
• Assists with the preparation of Board materials including the preparation of submissions and presentations for the Board.
• Accountable for budget tracking and forecasting.
• Assists with the preparation and monitoring of strategic objectives and operational goals.
• Engages with and oversees work of external counsel.
• Leads a variety of legal matters, including large development files and litigation matters.
• Performs other duties as assigned by the Vice-President.
Leadership:
• Develops team members, builds engagement, elevates, and manages direct reports' performance through regular one-on-one meetings to provide support, feedback, and guidance to direct reports including communicating team goals, prioritizing tasks, and identifying areas for training and skill development.
• Provides enterprise‑level leadership by strengthening organizational capability, reinforcing a healthy and inclusive workplace culture, and embedding legal thinking that supports collaboration, accountability, and high performance.
• Sets clear goals and objectives for team members, evaluates progress against those goals.
• Manages teamwork and time off to ensure business continuity while providing PRPA with a high level of service
WORKING CONDITIONS
• Works predominately in an office environment.
• Regular, full-time position (37.5 hours per week). Regular working hours are Monday to Friday, 8:00 AM to 4:30 PM, with 1 hour lunch break (unpaid), with the option to participate in the flex-time program.
JOB SPECIFICATIONS
Formal Education
• Bachelor of Law Degree and membership in the Law Society of British Columbia
Related Experience
• Practicing lawyer with 7+ years of broad corporate/commercial experience in a law firm or mid-to-large-size corporation.
• Experience in reviewing, drafting, and negotiating contracts.
• Experience working with lease documentation and related legal work.
• Experience in, aboriginal, real property, and environmental law preferred.

The base salary range for this role is $171,286-$214,107. This position is eligible for a performance-based variable incentive targeted at 25% of the base salary.
