The Role in Context
We are seeking a motivated Transaction Lawyer to join our in-house transactions team. This role offers an exciting opportunity to work on the legal aspects of financing and developing renewable energy projects, as well as negotiating with large scale industrial entities on the customer side. The right candidate will be joining an existing team of lawyers, consisting of the Chief Commercial Officer and two other Transaction Lawyers. The Transaction Lawyer will primarily support the wider transactions team, while also providing support to the business development and regulatory compliance teams as required.
Key Duties:
1. Regulatory Compliance:
(a)Review and provide written commentary on legislation, regulation, codes and policies.
(b) Maintain a good understanding of the various energy permitting requirements and processes in each of the GreenCo countries of operation.
2. Transaction Documents
Draft, review, and provide negotiation support on key transaction documents, including:
(i) Facility agreements
(ii) Security agreements
(iii) Power purchase agreements
(iv) Power supply agreements
(v) Operation and maintenance agreements
(vi) Engineering, procurement, and construction (EPC) contracts
(vii) Joint venture agreements / MoUs
(viii) Non-Disclosure Agreements
3. Precedent Management
(a) Manage the GreenCo transaction document precedent bank by keeping various templates up to date from time to time.
4. Support to Business Development (BD) Team
(a) Provide support to the BD team as and when required, which may include preparing heads of terms for key transaction documents, and providing support on proposals and pitches.
5. Transaction Management:
(a) Oversee the legal aspects of energy transaction closings, which shall include management of CPs and execution formalities.
(b) Maintain organised records of all transaction documents (such as version control) and correspondence related to various transactions.
(c) Collaborate with internal teams (finance, BD and trading and operations) to facilitate project execution.
6. Training and Development:
(a) Provide training internal teams on legal aspects of energy transactions and regulatory compliance.
(b) Stay updated on industry trends and legal developments to inform best practice.
Candidates will be expected to demonstrate strong analytical skills, attention to detail, commercial awareness, and the ability to work collaboratively within a small, fast-growing business. A solid foundation in project finance from prior work experience is essential, along with a keen interest in energy markets, PPAs and PSAs.
As GreenCo is a regional business, candidates must be willing to travel.
Qualification Requirements
The Transaction Lawyer will be expected to bring a combination of the following experience, personal attributes and qualifications:
• Qualified Lawyer in either South Africa, Zimbabwe or Zambia
• Experience of working within an established project finance practice at a top tier law firm
• Power sector experience, in particular familiarity with PPAs and/or PSAs.
• Impeccable spoken and written English
• An understanding of the sub-Saharan African power market, the Southern African Power Pool markets and key technologies employed by an IPP in renewable energy power generation will be viewed favourably;
• Familiarity with lender and bankability requirements for power projects in project finance;
• Ability to build relationships and work collaboratively;
• Innovative self-starter who can work independently and use own initiative.

Time Commitment
This is a full-time role. While the standard working week is 40 hours, the ideal candidate must be willing to work flexible hours to achieve GreenCo’s business objectives.
