Sompo has a unique opportunity for a Head of Corporate Governance and SEC Reporting to join our Legal team.
This role is responsible for leading the design, implementation, and ongoing enhancement of Sompo’s corporate governance framework, while serving as a key advisor to senior leadership, the Board of Directors, and its committees on governance matters, disclosure obligations, and evolving regulatory requirements.
The role oversees Board and committee processes, including the development of materials and adherence to governance policies and frameworks, and works cross-functionally with Legal, Finance, Compliance, and Investor Relations to ensure consistent and effective governance practices across the organization. In parallel, the position will take a leading role in supporting Sompo’s SEC reporting obligations, ensuring the timely and accurate preparation and filing of periodic reports, maintaining the integrity of public disclosures, and supporting robust internal and disclosure controls aligned with applicable laws, regulations, and best practices.

What you’ll be doing:
• Enhance, develop, and oversee the end-to-end corporate governance framework of Sompo’s group-wide Boards and Committees, including planning annual calendars, setting agendas, ensuring effective execution of meetings aligned with strategic priorities, and coordination with local company secretarial teams and leadership. • Partner closely with members of Sompo’s Executive Committee, as well as the Chairs of Sompo Boards and Committees to proactively manage Board and committee workflows, materials, and decision-making processes. • Drive the development, quality, and consistency of Board and Committee materials, ensuring clear, concise, and decision-oriented content appropriate for a global financial services organization. • Ensure adherence to corporate governance frameworks, policies, and best practices, including continuous enhancement of governance processes in line with applicable regulatory and listing requirements. • Advise senior leadership and the Board on governance matters, including evolving regulatory expectations, governance trends, and stakeholder considerations. • Maintain oversight of Board composition, committee structures, and governance documentation, including charters, guidelines, and policies. • Coordinate Board and committee evaluations, onboarding, and continuing education programs to support effectiveness and ongoing development. • Serve as a central point of coordination across Legal, Compliance, Finance, and other functions to ensure alignment on matters presented to the Board and consistency in governance practices globally. • Oversee the preparation and maintenance of Board records, including minutes, resolutions, and official corporate documentation. • Support key governance-related transactions and initiatives, including entity governance, reorganizations, and integration activities as needed. • Provide leadership and support in furtherance of Sompo’s ongoing SEC reporting obligations, including coordination of periodic filings, ensuring accuracy, timeliness, and alignment with disclosure obligations.
What you’ll bring:
• Bachelor’s degree required. J.D. preferred. • At least 8-10 years of Corporate Governance experience. Experience with SEC reporting required. • Demonstrated experience supporting Boards and Committees within a complex, global organization. • Strong judgment and ability to operate effectively in a highly confidential, senior stakeholder environment. • Deep understanding of corporate governance frameworks, best practices, and evolving regulatory expectations. • Proficiency in using third-party board reporting and entity management software. • Excellent written and oral communication skills. • Strong attention to detail and ability to work independently and as part of a team. • Demonstrated experience working with entity management and board governance software.
Salary Range: $250,000 – $320,000 Actual compensation for this role will depend on several factors including the cost of living associated with your work location, your qualifications, skills, competencies, and relevant experience.
