Senior Fund Legal Counsel – UCITS, Prospectus Drafting & CSSF Regulatory Projects Join Fundsight in Luxembourg and take ownership of high-impact UCITS product development, prospectus drafting and CSSF submissions for international clients. We are looking for an experienced Senior Fund Legal Counsel – UCITS, Prospectus Drafting & CSSF Regulatory Projects to join our expanding legal team and play a visible role in the continued development of our Luxembourg platform. This role is primarily dedicated to UCITS product development, prospectus drafting, fund documentation and CSSF regulatory submissions across the full lifecycle of Luxembourg investment funds. You will lead complex legal and regulatory projects, advise international clients and act as a key point of contact for the CSSF, service providers and internal stakeholders. The position combines technical fund law expertise, client-facing advisory work and hands-on project management. It is designed for a lawyer who enjoys taking ownership, working close to the business and contributing to the growth of a modern, entrepreneurial and internationally connected Management Company. Your Role UCITS Product Development & Fund Documentation • Lead the drafting, review and coordination of UCITS prospectuses and related fund documentation. • Take responsibility for legal and regulatory workstreams relating to: o Fund launches; o Sub-fund launches; o Share class creations; o Mergers; o Liquidations; o Restructurings; o Investment policy amendments; o Fee, governance and operational changes; and o Other events requiring CSSF approval, notification or regulatory filing. • Coordinate updates to articles of incorporation, management regulations and other key fund documentation. • Liaise with clients, investment managers, depositaries, administrators, distributors, external counsel and other service providers throughout project implementation. Alternative Investment Funds • Review and coordinate legal documentation relating to AIFs and alternative investment structures, while the main drafting focus remains on UCITS documentation. • Support projects involving RAIFs, SIFs, SICARs and other alternative investment vehicles. CSSF Affairs & Regulatory Filings • Prepare, coordinate and oversee CSSF submissions relating primarily to UCITS funds and, where relevant, AIF structures. • Act as a primary contact during regulatory approval processes and CSSF follow-up requests. • Manage fund lifecycle regulatory filings and ensure timely completion of regulatory obligations. • Monitor legal and regulatory developments affecting Luxembourg investment funds and assess their impact on existing structures and documentation. Legal Review & Contractual Matters • Review, negotiate and coordinate fund-related agreements. • Support the onboarding and oversight of service providers and distribution networks. • Provide practical and commercially focused legal advice to clients and internal stakeholders. Client & Project Management • Act as a trusted legal advisor for a portfolio of international clients. • Lead complex legal and regulatory projects from inception through implementation. • Coordinate effectively with regulators, clients, service providers and internal teams across multiple jurisdictions. • Ensure high-quality delivery under demanding regulatory and commercial deadlines. Candidate Profile Education & Experience • Master's Degree in Law or an equivalent legal qualification. • Minimum 5 years of relevant experience gained within: o A Luxembourg Management Company; o An AIFM; o A law firm; or o A specialised investment fund services provider. • Proven experience in UCITS prospectus drafting, CSSF approval processes and Luxembourg fund lifecycle events is essential. • Experience managing fund lifecycle events and regulatory projects is highly desirable. Technical Expertise Strong knowledge of: • UCITS regulation and Luxembourg investment fund law; • Fund governance and lifecycle events; • CSSF regulatory requirements and approval processes; and • Alternative investment fund structures, including RAIFs, SIFs and SICARs. Knowledge of French and/or Belgian investment fund regulation would be considered an asset.
