The Associate GC partners closely with the General Counsel to manage legal risk and oversee litigation matters across Cotton Holdings and its affiliated entities. This role is responsible for handling complex legal issues including active litigation management, dispute resolution, contract review and negotiation, regulatory compliance, corporate governance, and risk mitigation. The Associate GC collaborates with senior leadership, outside counsel, and internal business units to protect the company’s legal interests while supporting operational and growth objectives. This position plays a critical role in developing litigation strategy, ensuring compliance across multi-entity operations, and maintaining strong documentation and legal process standards. The ideal candidate brings strong construction/restoration industry awareness, experience managing outside counsel, and the ability to balance strategic legal guidance with practical business solutions in a fast-paced, high-growth environment. Legal Advisory & Support Provide legal counsel to internal stakeholders on a wide range of operational, regulatory, and corporate issues Review, draft, and negotiate complex contracts, including client agreements, vendor contracts, NDAs, service agreements, and licensing documents Support the General Counsel in managing corporate governance practices, legal policies, and compliance frameworks Conduct legal research, interpret statutes and regulations, and provide guidance on the impact of legal changes on Cotton operations Assist with mergers, acquisitions, corporate transactions, and related due diligence tasks Litigation Management Oversee litigation matters handled by outside counsel, including strategy, filings, discovery, and settlement discussions Support internal teams in collecting information, responding to subpoenas, and preparing legal documentation Review budgets, invoices, and performance of outside counsel and other legal vendors Compliance & Risk Support Support company-wide compliance efforts, including licensing, regulatory filings, documentation, and audits Work collaboratively with the Risk Department on matters involving insurance, liability, risk exposure, and regulatory compliance Ensure legal risk assessments are integrated into major business initiatives
