Position Summary:
Vecima is seeking a practical, business-minded Corporate Counsel to support a broad range of commercial and strategic transactions. The Corporate Counsel will be responsible for independently drafting and negotiating agreements across our business (e.g., hardware sales, software licenses, professional services, SaaS, reseller agreements, supplier contracts, etc.), and will help improve Vecima's legal processes, templates, playbooks, and other workflows. The role will work closely with business teams across the organization to help structure transactions, manage legal and commercial risk, support compliance, and enable Vecima's continued growth.
This role is best suited for someone who understands the commercial contracting process and can hit the ground running. The ideal candidate knows how to redline agreements effectively, recognize market and off-market terms, balance legal risk with business objectives, and work pragmatically with internal teams and counterparties to help get deals closed.
Duties include (but are not limited to):
• Support customer, partner, and reseller transactions, including MPAs, MSAs, SLAs, data processing agreement, reseller agreements, and related commercial documentation;
• Support vendor, procurement, and supply chain contracting, including hardware, components, services, logistics, and technology-related arrangements;
• Advise operations and product teams on legal and commercial issues related to product development, delivery, support, customer requirements, and sales;
• Develop, maintain, and improve contract templates, playbooks, and legal workflows;
• Provide practical, risk-based legal guidance to internal stakeholders;
• Monitor relevant legal and regulatory developments affecting the business; and
• Assist with ad hoc legal matters, special projects, and initiatives that support the business.
Position requirements:
• A J.D. from a U.S. law school and admitted to a state bar;
• 4+ years of relevant in-house or law firm experience negotiating commercial agreements;
• Experience with issues related to hardware products, software, technology licensing, and SaaS;
• Knowledge of corporate, commercial, privacy, and intellectual property law;
• Excellent communication skills, with the ability to translate complex legal concepts into clear, practical business advice;
• Collaborative and able to build strong cross-functional relationships
• Self-motivated, adaptable, and able to work independently
