Manager - Legal and Transactions - Private Equity As a Manager - Legal and Transactions Officer, you will own the delivery, quality, and compliance of legal, corporate, and transaction services across an assigned client portfolio. You will act as the primary escalation point for complex matters, ensure service excellence against agreed KPIs, and drive operational improvements. The role combines technical leadership, team management, and client relationship ownership within a regulated environment. Responsibilities • Lead strong client relationships through proactive communication and early escalation of issues to ensure predictable, high-quality delivery and continuous service improvement. • Own the execution and performance of service level agreements across the portfolio by monitoring KPIs, identifying trends, leading corrective actions, and contributing to SLA reviews and renegotiations. • Ensure full compliance with internal policies and regulatory requirements by setting standards, approving key controls and checklists, and driving continuous improvement in governance frameworks. • Lead oversight of investor transactions by ensuring accuracy, completeness, and timely recording in systems, validating supporting documentation, and driving consistent adoption of systems across the team. • Own document governance across the portfolio by enforcing naming conventions, ensuring completeness and timeliness of filings, and resolving systemic issues or backlogs. • Act as escalation point for legal, corporate and regulatory matters, ensuring accurate interpretation and application of Luxembourg fund, corporate and transactional requirements across the client portfolio. • Lead the preparation and approval of complex legal and corporate documentation, acting as the primary escalation point for technical matters and ensuring alignment with evolving regulatory frameworks. • Drive effective cross team collaboration by addressing coordination issues proactively, maintaining strong awareness of how Administrator, Depositary and AIFM responsibilities interact, and supporting reliable end to end process execution. • Accountable for team performance, including workload planning, delegation, coaching, structured 1 2 1s, appraisals and development of team members, with explicit responsibility for identifying capability gaps, mentoring senior team members, and contributing to succession planning. • Contribute to business growth and client retention by identifying opportunities for additional services, supporting pitches and onboardings, participating in selected client meetings and industry initiatives, and reinforcing Langham Hall's technical and governance reputation. Key Requirements • Extensive expertise in legal, corporate, and transaction services within a fund administration or regulated financial environment, with the ability to manage complex portfolios. • Advanced understanding of Luxembourg fund and corporate structures (including SCSps, SCSp based fund platforms, and SPV cascades) and their operation within full scope AIFM models, with the ability to independently interpret and apply LPAs, PPMs and ancillary documentation, assess structural and contractual implications of transactions and investor activity, and act as a technical and governance reference point for complex structuring, regulatory and operational matters across the portfolio. • Proven leadership capability with end to end accountability for team performance, including workload planning, delegation, coaching and development of senior team members. • Strong ability to translate strategic objectives into team execution, ensuring alignment, accountability, and continuous performance improvement. • Advanced governance and compliance mindset, with experience designing and enhancing procedures, controls, and operational frameworks. • Excellent organisational and analytical skills, enabling oversight of multiple workstreams, identification of risks, and implementation of sustainable improvements. • Strong communication and stakeholder management skills, including the ability to manage escalations, influence outcomes, and ensure consistent and professional client interactions.. • Fluency in English is mandatory, any additional language would be an asset About Langham Hall Langham Hall provides premium quality accounting, fund administration and investor reporting services to Real Estate and Private Equity Fund clients.
