What it's about Partners Group is seeking an experienced senior investment funds lawyer to join our private markets structuring team in Zug, Switzerland. This is a senior fund formation role with three core responsibilities: <ol> <li style="font-family:arial, helvetica, sans-serif">owning, drafting, developing and maintaining legal fund formation templates and documentation standards used across the business globally</li> <li style="font-family:arial, helvetica, sans-serif">drafting, reviewing and negotiating fund formation and separate account documentation for live transactions; and </li> <li style="font-family:arial, helvetica, sans-serif">training, supervising/overseeing and developing junior lawyers in fund formation drafting, negotiation and execution</li> </ol> The role is focused on private markets offerings for a global investor base. We are open to candidates with a European market focus, provided they are comfortable advising on fund formation matters in an international context and identifying, managing and coordinating the legal and regulatory issues relevant to globally offered products. You will work closely with client relationship management, investment, operations, tax, compliance and other legal colleagues, as well as with external counsel and service providers, to support the design, formation, documentation and execution of commingled funds and separate managed accounts / mandates. What you will do <ul> <li>Lead the development, drafting, maintenance and governance of fund formation templates, precedents, playbooks and documentation standards used across the business globally. You will be drafting agreements directly and reviewing drafting by external legal counsel</li> <li>Draft, review and negotiate legal documentation for live fund formation transactions and separate accounts, including term sheets, LPAs, constitutional documents, PPMs, subscription agreements, side letters, investment management agreements and related documents</li> <li>Train, supervise, mentor and develop junior lawyers in fund formation drafting, negotiation, issue-spotting and transaction execution, including reviewing work product and helping build team know-how and consistency</li> <li>Advise on the legal structuring, formation and documentation of private markets products, including commingled fund structures and customized separate account / mandate solutions</li> <li>Identify, assess and help coordinate cross-border legal and regulatory issues relevant to products offered to a global investor base, including European and US regulatory considerations where relevant</li> <li>Work closely with internal stakeholders across legal, tax, compliance, operations, investment and client teams to deliver commercially practical, well-documented and scalable structuring solutions</li> <li>Manage external counsel efficiently across jurisdictions and oversee delivery of high-quality legal advice and transaction documentation</li> <li>Support the continuous improvement and standardization of legal terms, documentation processes and fund formation execution across the platform</li> <li>Communicate complex legal and structuring issues clearly and effectively to senior internal stakeholders and contribute to strategic product and execution discussions</li> </ul> <style type="text/css"> .newspaper { h1 { font-size: 250%; font-family: Arial, Helvetica, sans-serif; } h2 { font-size: 200%; } p { font-size: 100%; } </style> <div class="newspaper"> </div> <div class="newspaper">What we expect <ul> <li>Qualified lawyer (preferably English or US qualified) with 12+ years experience in private markets (of which a significant portion focused on fund formation), gained at a leading law firm, financial institution, asset manager or similar platform</li> <li>Strong experience drafting, reviewing and negotiating fund formation documentation for private markets products and separate accounts</li> <li>Demonstrated experience owning or materially contributing to template suites, precedents, documentation standards or legal playbooks used across multiple transactions or products</li> <li>Proven ability to lead live fund formation matters with a high degree of autonomy, judgment and attention to detail</li> <li>Excellent drafting, legal analytical and communication skills</li> <li>Strong experience training, supervising, mentoring and developing junior lawyers or other legal professionals</li> <li>Experience advising on private markets fund structures across one or more key jurisdictions, such as Luxembourg, Delaware, Cayman Islands and/or Guernsey</li> <li>Strong understanding of legal and regulatory considerations relevant to private markets fund formation and fundraising, particularly in a European context, and the ability to operate effectively on products intended for a global investor base</li> <li>Experience working with institutional investors and negotiating with sophisticated counterparties, including pensions, insurance companies, banks, endowments or similar investors</li> <li>Commercially minded, pragmatic and solution-oriented approach, with the ability to balance legal risk, business objectives and execution timelines</li> <li>Strong interpersonal skills and the ability to work effectively across functions, jurisdictions and seniority levels</li> <li>Fluent English required; additional languages are a plus</li> </ul> This is an opportunity to play a leading role in how private markets products are documented, negotiated and scaled across a global top-tier investment platform.
