About this role

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for a Temporary to Permanent Corporate Paralegal ls to assist a Boutique Law Firm.

Overview: Major, Lindsey & Africa is seeking an Interim Paralegal to assist a Boutique Law Firm.

Company: A Small Boutique Law Firm.

Experience: At least 5-10 Years of experience as a Paralegal at a law firm or in-house corporation with a focus in Financial Services.

Location: NYC Hybrid Ideal (open to remote)

Responsibilities Include:

Venture & Emerging Company Transactions

• Prepare and coordinate closings for SAFE financings, convertible notes, and priced equity rounds, including drafting and organizing signature packages

• Maintain and update cap tables; track option pool grants and exercises, and manage equity documentation across funding rounds

• Coordinate due diligence processes and organize virtual data rooms for venture transactions

• Draft routine corporate resolutions, board and stockholder consents, and ancillary transaction documents

• Liaise with founders, investors, and counterparty counsel to manage information flow and closing logistics

Corporate Governance & Entity Management

• Manage formation, qualification, and dissolution filings across U.S. jurisdictions and select international jurisdictions

• Maintain organizational documents, and equity records for a portfolio of client entities

• Maintain and track governance deadlines

• Prepare and file state filings, registered agent changes, and foreign qualification documents

• Coordinate with state agencies, registered agents, and third-party service providers on entity matters

Process & Team Infrastructure

• Design, refine, and maintain closing checklists, precedent libraries, and standard workflows for recurring transaction types

• Identify and escalate issues proactively; surface process improvements with practical recommendations

• Manage multiple simultaneous matters with precision and composure under deadline pressure

Qualifications and Skills:

• 10+ years of corporate paralegal experience, with meaningful tenure at a law firm, legal department, or sophisticated financial institution

• Deep, hands-on experience with venture and emerging company transactions — SAFEs, priced rounds, cap tables, and equity documentation

• Strong command of corporate governance mechanics — entity formation, maintenance, governance calendars, and minute books

• High proficiency with document management, e-signature platforms (DocuSign), and virtual data room tools

• Exceptional organizational and project management skills; demonstrated ability to manage multiple complex matters simultaneously

• Polished written and verbal communication; comfortable corresponding directly with clients and counterparty counsel

• Ability to work independently with limited supervision —flag issues proactively and solve before escalating
