Job Description:
Our client is seeking an experienced Project Finance Attorney to support its legal team during a period of growth. This role will focus on financing, structuring, and monetization of renewable energy projects, working closely with development and commercial teams to move projects from construction readiness through financial close and asset sale.
Job Responsibilities:
Project Finance & Transaction Structuring
• Lead and support legal aspects of project financing transactions, including:
• Tax equity financing • Construction and term debt financing
• Draft and negotiate financing documents (credit agreements, security packages, intercreditor agreements, guaranties) • Advise on deal structure, risk allocation, and execution strategy to ensure bankability and close
Project Transactions (Sales & Transfers)
• Draft and negotiate APAs, MIPAs, and portfolio sale agreements • Support project sales, syndications, and transfers, including diligence, data rooms, and closing • Advise on assignment/consent requirements, transfer restrictions, and risk allocation (reps, warranties, indemnities)
Development & EPC Integration
• Partner with development teams to align EPC, PPA, and supply agreements with financing and exit requirements • Review key project contracts (EPC, LTSA, PPA/offtake) for lender and buyer readiness
Cross-Functional Support
• Advise development, finance, and commercial teams on legal impacts to timelines, monetization strategy, and risk/return
Core Requirements
• Significant experience in renewable energy project finance • Strong track record negotiating: • Financing transactions (tax equity and/or debt) • Project sales / APAs
• Deep understanding of lender requirements, security structures, and deal execution • Proven ability to independently manage deals and close transactions • Strong commercial judgment; thrives in fast-paced environments • J.D. and active bar license
