About this role

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for a Legal Taxonomist in Delaware Corporate Law to assist an AI Company.

Overview: A Legal AI Company seeks an expert in Delaware Corporate Law

Company: Legal AI Company

Experience: At least 5 years of experience from a Legal Publication or Corporate Law in Delaware-based law.

Location: Remote EST

Responsibilities Include:

• Design and develop a 4–6 level hierarchical taxonomy for Delaware corporate law, spanning from broad subject areas to granular doctrinal tests and standards • Define clear category structures, naming conventions, and scope boundaries to ensure consistency and usability • Deconstruct key doctrines into tests, elements, burdens of proof, standards of review, and triggering conditions • Map relationships across doctrines, including interdependencies, cross-references, and overlapping frameworks • Establish rules for classification, tagging, and multi-category assignment to address complex or hybrid legal concepts • Create clear definitions and annotations for each node in the taxonomy to enable consistent interpretation across users • Ensure the taxonomy is implementation-ready for use in knowledge systems, research workflows, or AI-enabled tools • Develop supporting documentation, including style guides, governance rules, and version control protocols • Validate the taxonomy against real-world Delaware corporate law scenarios and edge cases • Collaborate with legal subject-matter experts and cross-functional stakeholders to iterate and refine the structure • Provide structured outputs (e.g., spreadsheets, schemas, or machine-readable formats) to support downstream integration • Continuously improve and maintain the taxonomy to ensure accuracy, scalability, and long-term usability

Qualifications Include:

• Strong expertise in Delaware corporate law, including fiduciary duties, standards of review, and core doctrines (e.g., BJR, Entire Fairness, Unocal, Revlon) • Demonstrated ability to break down legal concepts into structured frameworks, elements, and decision rules • Experience creating or working with legal taxonomies, ontologies, knowledge systems, or structured legal content • Exceptional legal writing and analytical skills, with a focus on precision, clarity, and definitional rigor • Ability to identify and resolve ambiguities, overlaps, and edge cases in legal classification • Experience translating complex legal doctrine into usable formats for broader audiences or systems • Strong attention to detail with a commitment to consistency and internal logic • Ability to work independently while collaborating with legal subject-matter experts and cross-functional teams • Comfort working with structured outputs such as spreadsheets, schemas, or data models

• Background in knowledge management, legal operations, or information architecture • Experience supporting or building AI-enabled legal tools, research platforms, or document classification systems • Familiarity with DGCL structure, shareholder litigation, appraisal actions, and books-and-records demands (Section 220) • Prior experience designing classification/tagging systems or decision trees • Comfort interfacing with product, engineering, or data teams and working in iterative development environments

Individual compensation offered for this position within the pay range will depend on many factors, including qualifications, skills, relevant experience, job knowledge, geographic location, internal equity, and other pertinent job-related factors.
