About this role
Experience - -Minimum 10 years of relevant experience in power sector projects, project finance, mergers & acquisitions, or financial/business analysis in the energy industry. - At least 5 years of experience in a senior role within commercial or public sector power/energy organizations. - Demonstrated ability to manage a transaction pipeline, including coordination with stakeholders, advisors, and regulators. - Familiarization with regulatory frameworks (NEPRA, SECP, PC Ordinance, PPP Act) is mandatory and Certification in Project Management Professional (PMP) or Transaction Advisory is preferred. - The duration of articleship or equivalent professional training will be considered as part of the required relevant experience. Education - Master’s degree in Electrical/Power Systems with additional qualifications in Finance or Economics, Business Administration OR CPA/CA/CIMA. Details- - Initiate and manage the full privatization transaction process following approval from the competent authority, ensuring timely and compliant execution. - Collect and analyze data on the assigned entity or asset, including ownership structure, financials, liabilities, legal standing, and operational background. - Conduct preliminary due diligence and prepare reports as per the approved template and procedural requirements. - Develop and present recommendations on transaction execution strategies, including whether to proceed in-house or engage a Financial Advisor (FA) or other consultants. - Evaluate transaction structure options and propose an optimal structure for approval. Where an FA is appointed, assess and provide recommendations on their proposed transaction structure. - Formulate a strategic transaction plan outlining key stages, activities, and timelines, and seek approval from the competent authority. - Prepare key transaction documents, including Information Memorandums, Instructions to Bidders, Share Purchase Agreements (SPAs), Joint Venture Agreements (JVAs), and other related documentation in coordination with internal teams and advisors. - Develop and present briefs, reports, and presentations for the Privatization Commission (PC), Cabinet Committee on Privatization (CCoP), or other forums as required. - Review deliverables from Financial Advisors, verify performance against milestones, and make recommendations regarding payments and deliverable validation. - Coordinate with legal, financial, and technical experts to ensure accuracy and completeness of all transaction-related documentation. - Perform any other task or assignment entrusted by senior management in support of the privatization program.
