Responsibilities
Review and finalize legal terms and conditions on various documents related to the sale of software licenses and services, such as software license agreements, professional services agreements, statements of works, non-disclosure agreements, evaluation agreements, OEM agreements, purchase orders, reseller agreements, distributor agreements, subcontractor agreements, license transfer agreements, sole source letters, quotations, and requests for proposals.Assist with the review of other legal documents as needed, including vendor statements of work and license agreements.Work collaboratively with internal resources (sales, accounting, product management, technical support, professional services, etc.) to achieve critical objectives while assuring corporate guidelines and transactional objectives are met.Respond to inquiries from internal business units such as support renewals, sales operations, and finance who need analysis of complex legal verbiage.Engage in contract negotiations with customers via email and on the telephone.Resolve contract language disputes by balancing legal and business needs; identify risks and issues, and suggest alternatives that lead to the best solution.Take the lead in drafting and seek approval of new language when necessary.Facilitate internal approval and signature of negotiated agreements.Maintain final contracts in customer relationship management database used by the Legal, Accounting and Sales teams.Research and maintain contract files on corporate server.Perform other tasks as assigned. Qualifications
Law degree with minimum 7 years’ experience drafting / negotiation required, with a minimum of 5 years in the software industry.Strong knowledge of and experience with information technology contract review, with an understanding of legal, risk and business implications of contract language.Working knowledge of general corporate business practices, commercial contracting principles, and accounting and finance principles.Ability to comprehend complex legal, financial and business concepts.Ability to apply sound business judgment, resolve contracts issues, multi-task and set priorities.Ability to advise and effectively interact with all levels of the organization, including technologists and sales executives.Ability to develop positive working relationships throughout the organization.Outstanding communication (written and oral), analytical and negotiation skills;Ability to work independently and as a team, with a willingness to contribute wherever needed;Strong problem solving and project management skills and experience.Extensive knowledge of Microsoft Word.
